Welcome to Capmem AI. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Anteliphere LLC ("Company," "we," "us," or "our"), governing your access to and use of the Capmem AI web application, mobile applications (including iOS), APIs, and associated services (collectively, the "Services").

By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Eligibility and Account Registration

  • Age Requirement: You must be at least 13 years old (or the applicable age of digital consent in your jurisdiction) to use the Services.
  • Account Security: You are responsible for safeguarding your login credentials (email, password, or Apple Sign-In). You agree to immediately notify us of any unauthorized use of your account.
  • Accurate Information: You agree to provide accurate and complete registration information and maintain its accuracy.

2. Service Plans and Subscription Terms

Capmem AI offers multiple tiers of service to accommodate individual productivity needs:

  • Free Tier: Provides basic task capture, daily focus views, and limited AI parsing allocations without monetary charge.
  • Standard Plan: Available as a monthly subscription ($9.99/month) or an annual subscription ($89.00/year). Includes expanded AI extractions, multi-device cloud synchronization, and smart timeline scheduling.
  • Scholar / Pro Plan: Available as a monthly subscription ($14.99/month) or an annual subscription ($129.00/year). Includes high-volume AI extractions, custom priority scoring rules, advanced project workspace collaboration, and priority support.

2.1 Billing and Automatic Renewal

Paid subscriptions (whether billed monthly or annually) are charged in advance on a recurring basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.

  • For web subscribers, payments and recurring billing are securely processed by Stripe, Inc.
  • For iOS subscribers purchasing in-app, billing is processed directly by Apple Inc. in accordance with Apple Media Services Terms and Conditions.

2.2 Cancellation Policy

You may cancel your subscription at any time without penalty:

  • Web Subscribers: You can cancel anytime via the "Manage Billing and Invoices" customer portal in your Account Settings.
  • Apple iOS Subscribers: You can cancel via your iOS Device Settings > Apple ID > Subscriptions.
  • Upon cancellation, your subscription will remain active until the end of your current paid billing period. After that date, your account will revert to the Free tier, and your existing data will remain accessible according to free tier limits.

2.3 Refund Policy

Except where required by applicable law (such as statutory cooling-off periods for consumers in the European Union or United Kingdom), subscription fees are non-refundable once billed. If you believe you were charged in error, please reach out to our support team within 14 days of the transaction for review. For subscriptions purchased through Apple App Store, all refund requests must be submitted directly to Apple.

2.4 Price Changes

We reserve the right to adjust subscription pricing. Any price changes will take effect only after prior notice (at least 30 calendar days) sent to your registered email address or announced in the app, giving you ample time to cancel before changes apply.

3. User Content and Intellectual Property Rights

  • You Own Your Content: You retain full ownership, title, and intellectual property rights in and to any tasks, text, URLs, notes, and files you capture or upload ("User Content").
  • Limited License to Operate: You grant Anteliphere LLC a worldwide, non-exclusive, royalty-free license solely to host, transmit, display, and process your User Content to deliver, maintain, and improve the Services for you.
  • Company Intellectual Property: Capmem AI, including its user interface, algorithms, trademarks, logos, and documentation, are the exclusive property of Anteliphere LLC.

4. Artificial Intelligence Features and Disclaimers

Capmem AI incorporates advanced generative artificial intelligence models to assist with summarizing, deadline detection, and priority scoring:

  • No Model Training: Your private tasks and personal notes are never used to train or improve public foundation AI models.
  • AI Output Verification: Generative AI models may occasionally produce incomplete, inaccurate, or hallucinated outputs. You acknowledge that AI-extracted dates, summaries, and action items should be verified by you for critical academic, legal, or professional deadlines.
  • Fair Use Limits: Subscriptions include generous computational allowances for AI extraction. We reserve the right to throttle or rate-limit automated, bot-driven, or abusive volume that threatens system stability.

5. Acceptable Use and Prohibited Conduct

You agree not to use the Services to:

  • Violate any applicable local, state, national, or international law.
  • Reverse engineer, decompile, disassemble, or attempt to extract source code or underlying trade secrets of the Services.
  • Engage in automated scraping, mass data harvesting, or denial-of-service attacks against our infrastructure.
  • Transmit malware, viruses, harmful code, or fraudulent materials.
  • Infringe upon the intellectual property or privacy rights of any third party.

6. Service Availability and Termination

  • Uptime & Maintenance: We strive to maintain continuous service availability, but do not warrant that the Services will be uninterrupted or error-free. Periodic maintenance may occur.
  • Termination by You: You may terminate your account and delete your data at any time via Account Settings.
  • Termination by Us: We reserve the right to suspend or terminate accounts that breach these Terms or engage in illegal or abusive activities.

7. Disclaimer of Warranties and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL ANTELIPHERE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CAPMEM AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through good-faith informal negotiations, or if unresolved, through binding arbitration or competent courts located in the United States.

9. Changes to These Terms

We may update these Terms from time to time. When significant updates occur, we will notify you by updating the effective date at the top of this page or by sending an in-app notice. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
